Alex Palabrica is an associate in the Taxation, Trusts & Estates Department at Jeffer Mangels Butler & Mitchell LLP (JMBM). His practice focuses on corporate, partnership, income tax and estate and gift tax planning, emphasizing tax-advantaged strategies for high-net-worth individuals, entrepreneurs, and closely held business owners.
Alex has extensive experience advising clients across a wide range of industries on the tax aspects of mergers and acquisitions, equity and debt financings, entity restructurings, strategic exit planning and other complex transactions. His work regularly involves the tax-efficient structuring of corporations, partnerships, joint ventures, limited liability companies (LLCs), and disregarded entities, including in connection with Qualified Opportunity Zone (QOZ) investments made through captive Qualified Opportunity Funds (QOFs), Section 1031 like-kind exchanges, Qualified Small Business Stock (QSBS) planning under Section 1202, and the formation of family offices and investment vehicles.
In addition to his transactional tax practice, Alex counsels high-net-worth individuals and families on comprehensive estate and gift tax planning strategies. He frequently advises on the use of intentionally defective grantor trusts (IDGTs), family limited partnerships (FLPs) and other advanced wealth transfer techniques to meet each client’s long-term succession goals. One of Alex’s career highlights includes serving on the tax advisory team for one of the largest trust administrations in U.S. history, which involved more than $7 billion in federal tax liability. In that role, he provided strategic guidance on all federal and California tax issues throughout the trust administration.
Drawing on his experience as a lifelong collector of high-end trading cards, Alex also advises clients on the acquisition, sale, charitable contribution and estate planning of high-value collectible assets, such as art and vintage automobiles. He regularly writes on emerging income tax issues, including the evolving tax treatment of non-fungible tokens (NFTs) and other digital assets.
